Chapter I

General Provisions

1

Scope of Application

A contract for an Agent-Organized Tour which this company (hereinafter referred to as "the Company") concludes with a Traveler (hereinafter referred to as "Agent-Organized Tour Contract") shall be subject to the provisions of these General Terms and Conditions. Matters not provided for in these General Terms and Conditions shall be governed by the laws, ordinances, regulations and generally established practice.

2.If the Company has entered into a special agreement in writing without violating the laws, ordinances and regulations and within the scope not unfavorable for the Traveler, that special agreement shall prevail over the provisions of these General Terms and Conditions.

Definitions of Terms

An "Agent-Organized Tour" means travel for which the Company prepares in advance, for the recruitment of Travelers, a travel plan specifying the destination and itinerary, the contents of transportation or accommodation services, and the amount of the travel fee, and which the Company operates according to such plan.

2."Domestic Travel" means travel only within Japan. "Overseas Travel" means travel other than Domestic Travel.

3.A "Communications Contract" means an Agent-Organized Tour Contract concluded with a card member of an affiliated credit card company, where the Traveler agrees in advance to settle debts for the travel fee based on that card's membership rules.

4.An "Electronic Acceptance Notice" means a notice of acceptance in response to an application, sent via telecommunications line connecting the computers used by the Company and the Traveler.

5.A "Card Use Day" means the date on which the Traveler or the Company should pay the travel fee or settle refund debts in accordance with the Agent-Organized Tour Contract.

Contents of Travel Contract

Under an Agent-Organized Tour Contract, the Company undertakes to make arrangements and manage the itinerary so that the Traveler may receive transportation, accommodation, and other Travel Services in accordance with the itinerary established by the Company.

Arrangements Agent

In performing an Agent-Organized Tour Contract, the Company may have another travel agent, a person handling travel arrangements as a business, or any other auxiliary in or outside Japan perform arrangements in whole or in part as an agent.

Chapter II

Conclusion of Contract

Application for Contract

A Traveler who intends to apply for an Agent-Organized Tour Contract must submit an application form together with the application fee specified by the Company.

2.A Traveler applying for a Communications Contract must inform the Company of the tour title, date of commencement, membership number, and other required matters.

3.The application fee shall be treated as part of the travel fee or a cancellation/penalty fee.

4.A Traveler who requires special consideration must inform the Company at the time of application. The Company will accommodate such requirements to the reasonably practical extent.

5.Any cost arising from special measures taken by the Company in accordance with Paragraph 4 shall be borne by the Traveler.

Reservation by Telephone, Etc.

The Company accepts reservations by telephone, mail, facsimile, or other means of communication. In such cases, the contract is not in effect at the time of reservation. The Traveler must submit an application form and the application fee, or inform the Company of the Membership Number etc., within the period specified by the Company after acceptance of the reservation.

2.When the application form and fee have been submitted, the order for conclusion of the contract shall follow the order of receipt of the reservation.

3.If the Traveler has not submitted the application fee within the specified period, the Company deems that no reservation has been made.

Refusal of Conclusion of Contract

The Company may refuse to conclude an Agent-Organized Tour Contract in any of the following cases:

  1. The Traveler does not meet specified conditions regarding sex, age, qualifications, skills, etc.
  2. The number of applicants has reached the intended recruitment number.
  3. The Traveler seems likely to disturb other Travelers or the smooth conduct of group activities.
  4. The Company's business situation necessitates it.
  5. For a Communications Contract, the Traveler is unable to settle debts due to an invalid credit card or similar reason.

Time of Entry into Effect of Contract

An Agent-Organized Tour Contract enters into effect when the Company has agreed to conclude the contract and received the application fee.

2.A Communications Contract enters into effect at the time the Company issues a notice of agreement. If an Electronic Acceptance Notice is used, the contract enters into effect upon receipt by the Traveler.

Issue of Contract Document

The Company shall promptly issue to the Traveler a Contract Document mentioning the itinerary, contents of Travel Services, travel fee, and other conditions and matters concerning the responsibility of the Company.

2.The scope of Travel Services for which the Company assumes the obligation to make arrangements is as mentioned in the Contract Document.

Final Document

If finalized itinerary details cannot be included in the Contract Document, the Company shall issue a Final Document by the date specified in the Contract Document, and no later than the day preceding the date of commencement of travel.

2.If the Traveler requests confirmation of arrangements before the Final Document is issued, the Company will reply promptly.

3.Once the Final Document is issued, the scope of Travel Services shall be defined according to what is mentioned in the Final Document.

Method of Using Information and Communications Technology

With the Traveler's prior agreement, the Company may provide the matters to be mentioned in the Contract Document or Final Document by a method using information and communications technology, confirming that those matters have been recorded in a file accessible to the Traveler.

Travel Fee

The Traveler must pay to the Company the travel fee as mentioned in the Contract Document, by the date stated and no later than the date of commencement of travel.

2.For a Communications Contract, the travel fee shall be paid by the affiliated card without the Traveler's signature on a payment slip. The Card Use Day shall be the day on which the travel contract enters into effect.

Chapter III

Change in Contract

Change in Contract Contents

If a natural disaster, war, riot, suspension of Travel Services, order of a government or public office, or any other event beyond the Company's control occurs, and if it is unavoidable to secure safe and smooth travel, the Company may change the itinerary or other Contract Contents, having explained the reason to the Traveler in advance. In cases of emergency, such explanation will be given after the change has been made.

Change in Amount of Travel Fee

If applicable fares and charges for transportation increase or decrease drastically beyond the normally assumed extent due to significant changes in economic conditions, the Company may increase or reduce the travel fee accordingly.

2.If the Company decides to increase the travel fee, it shall inform the Traveler prior to the 15th day before the date of commencement of travel.

3.If applicable fares are reduced, the Company shall reduce the travel fee by the amount of such reduction.

4.If the cost of operating the travel changes due to a change in Contract Contents, the Company may adjust the travel fee within the amount of such change.

5.If the Contract Document states that the travel fee varies depending on the number of users, and the number changes after the contract enters into effect due to causes not attributable to the Company, the Company may change the travel fee accordingly.

Change in Traveler

A Traveler may transfer their status under the Contract to a third party with the Company's approval.

2.To seek such approval, the Traveler must submit a prescribed form together with the required fee.

3.Such transfer takes effect upon the Company's approval, after which the third party succeeds to all rights and obligations under the contract.

Chapter IV

Cancellation of Contract

Right of Cancellation of Traveler

A Traveler may cancel an Agent-Organized Tour Contract at any time upon payment of the cancellation fee specified in Schedule I.

2.A Traveler may cancel before commencement of travel without a cancellation fee in any of the following cases:

  1. The Contract Contents have been changed by the Company in an important manner as listed in Schedule II.
  2. The travel fee has been increased in accordance with Article 14, Paragraph 2.
  3. A natural disaster, war, riot, or similar event makes the safe and smooth operation of the travel impossible or very likely impossible.
  4. The Company has failed to issue the Final Document by the date required under Article 10.
  5. It has become impossible to operate the travel in accordance with the Contract Document due to causes attributable to the Company.

3.If, after commencement of travel, a Traveler becomes unable to receive Travel Services due to causes not attributable to the Traveler, they may cancel that part of the contract without a cancellation fee.

4.In such a case, the Company shall refund the amount for the part of Travel Services not received, less any cancellation fee, penalty, or costs already paid or payable in respect of those services.

Right of Cancellation of the Company —
Before Commencement of Travel

The Company may cancel an Agent-Organized Tour Contract before commencement of travel, explaining the reason to the Traveler, in any of the following cases:

  1. The Traveler does not satisfy conditions specified in advance for participating travelers.
  2. The Traveler is not fit for the travel due to illness, absence of a required assistant, or other reasons.
  3. The Traveler may give trouble to other travelers or disturb smooth group travel.
  4. The Traveler has made demands exceeding a reasonable extent in connection with Contract Contents.
  5. The number of travelers has not reached the minimum number stated in the Contract Document.
  6. Conditions for operating the travel (e.g. required snowfall for a skiing tour) are very unlikely to be fulfilled.
  7. A natural disaster, war, riot, or similar event has made the safe and smooth operation of the travel impossible or very likely impossible.
  8. For a Communications Contract, the Traveler has become unable to settle debts relating to the travel fee.

2.If the Traveler has not paid the travel fee by the date stated in the Contract Document, it shall be deemed that the Traveler has canceled the contract on the following day. The Traveler must pay a penalty equivalent to the cancellation fee.

3.If the Company cancels for the reason in Item 5 above, it shall notify the Traveler prior to the 13th day before the date of commencement (Domestic Travel), or the 23rd day (Overseas Travel; 33rd day during peak periods).

Right of Cancellation of the Company —
After Commencement of Travel

The Company may cancel part of an Agent-Organized Tour Contract after commencement of travel in any of the following cases:

  1. The Traveler is not fit to continue the travel due to illness, absence of a required assistant, or other reasons.
  2. The Traveler disturbs safe and smooth operation of the travel through violation of the Company's instructions, or through violence or threat against the tour conductor or other Travelers.
  3. A natural disaster, war, riot, or similar event has made it impossible to continue the travel.

2.Upon such cancellation, the contractual relationship ceases to exist from that point. Travel Services already received shall be deemed to have been validly performed.

3.The Company shall refund the Traveler the amount for Travel Services not yet received, less any cancellation fee, penalty, or costs payable in respect of those services.

Refund of Travel Fee

If an amount is to be refunded following reduction or cancellation under Articles 14–18, the Company shall refund the said amount within 7 days of the cancellation (if before commencement) or within 30 days of the date of completion of travel stated in the Contract Document (if after commencement or due to reduction).

2.For a Communications Contract, the Company shall inform the Traveler of the amount to be refunded within the same time limits, and the day of such notification shall be deemed to be the Card Use Day.

3.These provisions do not prevent either party from exercising their right to seek damages under Articles 27 or 30.

Arrangements for Return Trip after Cancellation of Contract

If the Company cancels an Agent-Organized Tour Contract after commencement under Article 18, Items 1 or 3, it will arrange Travel Services for the Traveler's return to the place of departure at the Traveler's request.

2.All costs required for such return shall be borne by the Traveler.

Chapter V

Party / Group Contract

Party / Group Contract

The provisions of this Chapter apply to the conclusion of an Agent-Organized Tour Contract where more than one Traveler traveling together on the same itinerary has applied after nominating a responsible representative (hereinafter "Person Responsible for Contract").

Person Responsible for Contract

Unless a special agreement has been concluded, the Person Responsible for Contract shall be deemed to have full power of agency for concluding the Agent-Organized Tour Contract on behalf of all Members, and the Company will conduct all travel business transactions with that person.

2.The Person Responsible for Contract must submit a list of Members to the Company by the date prescribed by the Company.

3.The Company shall not bear any responsibility for any debt or obligation the Person Responsible for Contract has or may have to a Member.

4.If the Person Responsible for Contract does not accompany the group during travel, the Member designated in advance shall be deemed to be the Person Responsible for Contract after commencement of travel.

Chapter VI

Itinerary Management

Itinerary Management

The Company will make efforts to secure safe and smooth operation of the travel, and will conduct the following unless a different special agreement has been concluded:

  1. If there is a possibility that the Traveler will not be able to receive Travel Services, take reasonably necessary measures for proper receipt of those services.
  2. If Contract Contents must be changed despite such measures, make arrangements for alternative services, minimizing the change and endeavoring to keep the altered itinerary as close to the original purpose as possible.

Instructions of the Company

A Traveler must follow instructions of the Company for the safe and smooth operation of the travel when acting as a group between the commencement and completion of the travel.

Businesses of Tour Conductor, Etc.

The Company may, depending on the contents of the travel, have a tour conductor or other person accompany the travel and perform the businesses mentioned in Article 23 or any other business the Company considers necessary.

2.The period of engagement of the tour conductor or other such person is, as a rule, from 8:00 to 20:00.

Protective Measures

If the Company considers that a Traveler is in need of protection due to illness, injury, or similar during the travel, it may take necessary measures. If the situation is due to causes not attributable to the Company, the cost of such measures shall be borne by the Traveler, payable by the date and method designated by the Company.

Chapter VII

Responsibility

Responsibility of the Company

If the Company or its Arrangements Agent has caused damage to a Traveler intentionally or by negligence in performing an Agent-Organized Tour Contract, the Company shall bear responsibility for compensating for the damage, provided the Company has been informed within 2 years of the date of occurrence.

2.If a Traveler incurs damage due to a natural disaster, war, riot, suspension of Travel Services, order of a government or public office, or any other event beyond the Company's or Arrangements Agent's control, the Company shall not be responsible for compensating for such damage, except as provided in Paragraph 1.

3.Notwithstanding Paragraph 1, the Company shall compensate for baggage damage within ¥150,000 per Traveler (except where caused by the Company intentionally or by gross negligence), provided the Company is informed within 14 days (Domestic) or 21 days (Overseas) of the date of occurrence.

Special Compensation

Regardless of the Company's responsibility under Article 27, it shall pay compensation and a solatium of pre-specified amounts for specific damage incurred to a Traveler's life, person, or baggage while participating in an Agent-Organized Tour, in accordance with the Special Compensation Rules in a separate document.

2.Where the Company also bears responsibility under Article 27, Paragraph 1, the compensation paid under this Article shall be deemed to constitute compensation for the damage within the limits of the amount payable under that responsibility.

3.In such cases, the Company's obligation to pay compensation under Article 27 shall be reduced by the amount equivalent to the special compensation payable.

4.An Agent-Organized Tour operated for the same Travelers for a separate fee shall be treated as part of the contents of the main Agent-Organized Tour Contract.

Guarantee of Itinerary

If an important change in Contract Contents as listed in Schedule II occurs — unless due to the reasons listed in Items (1)(a)–(g) below, a cancellation under Articles 16–18, or a shortage of seats despite services being provided — the Company shall pay a change compensation within 30 days of the date of completion of travel, unless the Company is clearly liable under Article 27:

  1. Changes due to: (a) Natural disaster; (b) War; (c) Riot; (d) Order of a government or public office; (e) Suspension of Travel Services; (f) Transportation services not according to the original plan; (g) Measures necessary to secure the safety of a Traveler's life or person.
  2. Changes for any part of a contract canceled under Articles 16–18.

2.The total change compensation per Traveler per tour shall not exceed the travel fee multiplied by 15% (or a higher ratio specified by the Company). If the compensation per Traveler is less than ¥1,000, no change compensation shall be paid.

3.If, after paying a change compensation, it becomes clear that the Company is liable under Article 27 for the change, the Traveler must return the change compensation, and the Company shall pay the balance between the damage compensation and the returned amount.

Responsibility of Traveler

If the Company has incurred damage caused by a Traveler intentionally or by negligence, the Traveler shall compensate the Company for such damage.

2.In concluding an Agent-Organized Tour Contract, a Traveler must endeavor to understand their rights and obligations, making good use of information supplied by the Company.

3.Should a Traveler realize that Travel Services different from those in the Contract Document are being provided after commencement of travel, they must promptly notify the Company, the Arrangements Agent, or the service provider at the place of travel.

Chapter VIII

Business Guarantee Bonds

Business Guarantee Bonds

A Traveler who has concluded an Agent-Organized Tour Contract with the Company is entitled to receive compensation from the Business Guarantee Bonds deposited by the Company in accordance with the provisions of Paragraph 1, Article 7 of the Travel Agency Law, in connection with a claim arising from that transaction.

Compensation Security Bonds

A Traveler or Member who has concluded an Agent-Organized Tour Contract with the Company is entitled to receive compensation from the Compensation Security Bonds deposited by the relevant Association of Travel Agents, in connection with a claim arising from that transaction, up to the prescribed limit.

Schedule I

Cancellation Fee

Relating to Article 16, Paragraph 1

Note 1: "Before commencement of travel" refers to changes notified to the Traveler by the day preceding the date of commencement. "After commencement" refers to changes notified on or after the date of commencement.

Note 2: If a Final Document has been issued, read "Contract Document" as "Final Document" throughout this Schedule. Changes between the Contract Document and Final Document, or between the Final Document and actual Travel Services provided, shall each be treated as one case of change.

Note 3: For Item 3 or 4 where transportation is accompanied by accommodation, a change in connection with one night's stay shall be treated as one case of change.

Note 4: Item 4 (change in name of company) shall not apply if the change is to transportation with a higher class or facilities.

Note 5: Even if changes in Items 4, 7, or 8 occur more than once for one vehicle or one night's stay, they shall be treated as one case of change.

Note 6: For Item 9, the ratios for Item 9 alone shall apply, not those for Items 1–8.
